Terms of Service

1. Acceptance of Terms

By accessing or using ProtectPLC ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

2. Description of Service

ProtectPLC provides industrial automation backup and version control software, including:

  • Automated backup of PLC, HMI, and robot programs
  • Version control and change tracking
  • Program comparison and diff tools
  • On-premise software for secure data collection
  • Cloud-based storage and management interface

3. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.

4. Subscription and Payment

4.1 Pricing

The Service is offered on a subscription basis. Current pricing is available at our pricing page. Prices are subject to change with 30 days notice.

4.2 Billing

Subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as explicitly stated in these Terms.

4.3 Overage

If you exceed your plan's asset limit, you will be charged overage fees at the rate specified in your plan. Overage charges are billed at the end of each billing cycle.

4.4 Free Trial

New accounts receive a 30-day free trial with access to up to 10 assets. No credit card is required for the trial. At the end of the trial, you must subscribe to continue using the Service.

5. Data Ownership and Security

5.1 Your Data

You retain all ownership rights to your data, including PLC programs, configurations, and backup files ("Customer Data"). We do not claim any ownership rights to Customer Data.

5.2 Data Security

We implement industry-standard security measures to protect Customer Data, including:

  • Encryption in transit (TLS 1.2+) and at rest (AES-256)
  • SOC 2 Type II compliant infrastructure
  • Regular security audits and penetration testing
  • Role-based access controls

5.3 Data Location

Customer Data is stored in AWS data centers in the United States. Enterprise customers may request specific data residency requirements.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the Service
  • Reverse engineer, decompile, or disassemble the Service
  • Share account credentials with unauthorized parties
  • Use the Service to store or transmit malicious code

7. Intellectual Property

The Service, including its original content, features, and functionality, is owned by ProtectPLC and is protected by international copyright, trademark, and other intellectual property laws.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROTECTPLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR PRODUCTION TIME, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify and hold harmless ProtectPLC and its officers, directors, employees, and representatives from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

10. Service Availability

We strive to maintain 99.9% uptime for the Service. However, we do not guarantee uninterrupted access and may perform scheduled maintenance with reasonable notice. The on-premise software continues to function during cloud outages.

11. Termination

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access until the end of your current billing period.

We may terminate or suspend your account immediately for violation of these Terms. Upon termination, you may request export of your Customer Data within 30 days.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
